Condizioni Generali di Vendita General Conditions of Sale Tutte le compravendite di merce effettuate dalla Pietro Galliani S.p.A. (d’ora in poi: Venditore) saranno esclusivamente regolate dalle seguenti Condizioni Generali di Vendita. All goods trades made by Pietro Galliani S.p.A. (from now on: Vendor) will be exclusively governed by the following General Conditions of Sale. Qualsiasi clausola o condizione stabilita dal Compratore è nulla e priva di effetti quando sia in contrasto con le condizioni sotto riportate. 1. Offerte, ordini e conferme d’ordine 1.1. L’Offerta inviata dal Venditore, recante la descrizione, le caratteristiche tecniche ed i prezzi della merce, costituisce una proposta contrattuale di vendita che diverrà un contratto di vendita solo in seguito alla ricezione da parte del Venditore di un Ordine di acquisto del Compratore. Le condizioni presenti in detta Offerta sono destinate a perdere ogni validità ed efficacia decorsi novanta giorni dalla data dell’Offerta (salvo specifici accordi in fase di negoziazione), salvo che entro il predetto termine il Venditore non riceva l’Ordine dal Cliente medesimo. 1.2. Qualora invece sia il Compratore a trasmettere l’Ordine di acquisto (in assenza della previa trasmissione dell’Offerta del Venditore di cui al precedente punto 1.1), lo stesso rappresenta una proposta irrevocabile d’acquisto, destinata a divenire un contratto di vendita solo a seguito dell’invio da parte del Venditore della relativa Conferma d’Ordine. 1.3. L’Ordine del Compratore deve necessariamente contenere l’indicazione delle quantità, data di indicativa consegna della merce e le designazioni complete dei prodotti richiesti. 1.4. Il semplice invio dell’Ordine da parte del Compratore implicherà, perciò solo, l’integrale presa visione e la conoscenza da parte del Compratore stesso di tutte le presenti Condizioni Generali di Vendita, le quali, pertanto, dovranno così intendersi integralmente accettate senza limitazioni e riserve dai Contraenti. 1.5. Ogni Ordine del Compratore diviene vincolante per il Venditore unicamente quando quest’ultimo invierà la Conferma d’Ordine al Compratore. 1.6. Le indicazioni riportate su cataloghi, prospetti e listini non impegnano il Venditore, che si riserva la facoltà di apportare qualsiasi modifica ai propri prodotti e ai prezzi relativi; pertanto, il Venditore si considera vincolato esclusivamente da quanto riportato sulla sua Offerta (prevista al precedente punto 1.1) ovvero sulla Conferma d’Ordine (qualora, in tal caso, la stessa coincida con quanto indicato dal Compratore nel suo Ordine secondo le modalità previste ai precedenti punti 1.2 e 1.3). 1.7. Nella stesura dei cataloghi, prospetti e listini del Venditore è stata dedicata la massima attenzione al fine di assicurare l’accuratezza dei dati; per altro, il Venditore non è responsabile per eventuali errori od omissioni ivi riscontrati, risultando vincolante ed impegnativo per le Parti unicamente quanto riportato nel contratto di vendita concluso secondo le modalità previste al successivo punto 2. Any clause or condition drawn up by the Buyer shall become null and void if found to be in conflict with the following conditions. 1. Offers, orders and order acknowledgements 1.1. The Offer issued by the Vendor, including description, technical features and prices of the goods, is considered a contractual sale proposal which will become sale contract only upon receipt of a Purchase Order sent by the Buyer. The conditions set forth in said Offer shall lose all validity and effect ninety days from the Offer date (unless specific agreements are negotiated and agreed in writing), unless the Vendor receives a Purchase Order from the Customer in the meantime. 1.2. In case of Purchase Order sent by the Buyer (without a Vendor's Offer as described at point 1.1 above), that Purchase Order represents an irrevocable purchase proposal to become a sales contract only once the related Order Confirmation is issued by the Vendor. 1.3. The Buyer's Purchase Order must include a clear indication of the required quantities, the indicative required delivery date and the complete designations of the required products. 1.4. The mere sending of the Purchase Order by the Buyer shall imply that the Buyer has read and is familiar with all points of these General Conditions of Sale, which shall consequently be fully accepted unconditionally and without restriction by the Parties. 1.5. Any Buyer’s Purchase Orders shall be considered as binding for the Vendor only once the latter has issued and sent an Order Acknowledgement to the Buyer. 1.6. Any information stated in catalogues, offers and price lists is not binding for the Vendor, which reserves the right to make any modification to its products and/or to its prices; the Vendor shall be bound exclusively to the Offer (as described at point 1.1 above) and to the Order Acknowledgement (in case it corresponds to what is stated by the Buyer in the Purchase Order as described at points 1.2 and 1.3 above). 1.7. The Vendor’s catalogues, offers and price lists are issued with the utmost attention in order to ensure the accuracy of any information included, however, the Vendor declines any responsibility for errors and/or omissions, as the Parties are bound only to the Conclusion of the contract as described at point 2 below. 2. Conclusion of the contract 2.1. The Sale Contract shall be considered as concluded only through the modalities described at points 1.1 and 1.2 above. 2. Conclusione del contratto 2.1.
